Simply Computing Business Inc. B2B Sales Terms & Conditions
These Business-to-Business (“B2B”) Terms & Conditions apply to all sales, services, and transactions between Simply Computing Business Inc. (“SCBI”) and its business customers (“Customer”). These terms form part of every quotation, invoice, order, and agreement unless expressly varied in writing by SCBI.
All sales are final unless otherwise agreed in writing by SCBI prior to sale.
No returns, refunds, or credits are permitted on:
- Labour or professional services
- Shipping, freight, or logistics charges
- Special-order items
- Configure-to-Order (CTO) Macs
- Clearance or discounted items
- Software or licenses
- Consumables
- SimplyGuard
- AppleCare
Hardware returns are permitted only if pre-approved in writing by SCBI.
If approved:
- Requests must be made within 14 days of invoice date
- Items must be unused, unopened, and in original packaging
- Items must be in resalable condition
- Restocking fees may apply
- Return shipping is the Customer’s responsibility
“Special orders” include items ordered specifically for a Customer and not normally stocked by SCBI.
Special orders are non-cancelable and non-returnable
- SCBI may, at its discretion, require partial or full prepayment
- Any price changes resulting from tariffs, duties, supplier pricing changes, or currency exchange fluctuations are the responsibility of the Customer
4. Warranties
New Apple Products
- All new Apple products are covered solely by Apple’s Limited Warranty. SCBI does not provide any additional warranty beyond that offered by Apple.
Apple Repairs
- Apple repairs performed by SCBI include a 90-day warranty on parts and labour, excluding failures caused by misuse, liquid damage, unauthorized modification, or third-party components.
Pre-Owned Products
- Pre-owned products include a 30-day Simply Limited Warranty, unless expressly sold “as-is”, in which case no warranty applies.
Disclaimer
- Except as expressly stated, all other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.
Approved credit and payment terms on file apply to all invoices.
SCBI may:
- Charge interest on overdue balances
- Apply NSF or declined-payment fees
- Recover reasonable collection and enforcement costs
- Suspend service, delivery, or further orders on overdue accounts
6. Limitation of Liability
SCBI is not liable for any indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or data loss.
SCBI’s total liability for any claim is limited to the amount paid on the applicable invoice.
7. Acceptance of Terms
Placement of an order, acceptance of delivery, or payment of an invoice constitutes acceptance of these B2B Terms & Conditions.
8. Governing Law
These terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada. The courts of British Columbia have exclusive jurisdiction.
